  1. MAPLE WARE TECHNOLOGIES LICENSE AGREEMENT

  3. This is a legal agreement between you and Maple Ware Technologies, Ltd. covering your 
  4. use of Maple Web.  Be sure to read the following agreement 
  5. before using the software.  IF YOU DO NOT AGREE TO THE TERMS OF THIS 
  6. AGREEMENT, DO NOT USE THE SOFTWARE AND DESTROY ALL COPIES OF IT.

  8. This Maple Ware End-User License Agreement ("EULA") is a legal agreement 
  9. between you (either an individual or a single entity) and Maple Ware Technologies, Ltd. 
  10. By installing, copying, or otherwise using Maple Web ("the Software") on any computer 
  11. or device, you agree to be boundby the terms of this EULA. If you do not agree to the 
  12. terms of this EULA, you are not authorized to use the Software.

  14. TERMS

  16. This software is distributed as freeware. Maple Ware Technologies, Ltd. grants 
  17. you a non-exclusive license to use the Software as much as you would like.
  18.  
  19. WARRANTY
  20.  
  21. The Software is provided on an "AS IS" basis, without warranty of any kind, 
  22. including without limitation the warranties of merchantability, fitness for 
  23. a particular purpose and non-infringement. The entire risk as to the quality 
  24. and performance of the Software is borne by you.  Should the Software prove 
  25. defective, you, and not Maple Ware Technologies assume the entire cost of any 
  26. service and repair. This disclaimer of warranty constitutes an essential part 
  27. of the agreement. SOME JURISDICTIONS DO NOT ALLOW EXCLUSIONS OF AN 
  28. IMPLIED WARRANTY, SO THIS DISCLAIMER MAY NOT APPLY TO YOU AND YOU MAY
  29. HAVE OTHER LEGAL RIGHTS THAT VARY BY JURISDICTION.

  31. DISTRIBUTION
  32.  
  33. Commercial distribution of the Software is not allowed without permission 
  34. of Maple Ware Technologies.  Contact Maple Ware Technologies, Ltd. for details on obtaining 
  35. a license. Non-commercial distribution is permitted, provided that this license 
  36. accompanies the Software and all users agree to the terms of this license 
  37. agreement.
  38.  
  39. You may not modify, translate, reverse engineer, decompile, disassemble or 
  40. create derivative works based on the Software. You  may not copy the Software 
  41. other than as specified above. You may not rent, lease, grant a security interest 
  42. in, or otherwise transfer rights to the Software. You may not remove any 
  43. proprietary  notices or labels on the Software. You must maintain all copyright 
  44. notices on all copies of the Software.

  46. TITLE.

  48. Title, ownership rights, and intellectual property rights in the Software 
  49. shall remain in Maple Ware Technologies, Ltd. The Software is protected by the 
  50. copyright laws and treaties of the United States. 
  51.  
  52. TERMINATION.
  53.  
  54. The license will terminate automatically if you fail to comply with
  55. the limitations described herein.  On termination, you must destroy
  56. all copies of the Software and Documentation.
  57.  
  58. EXPORT CONTROLS.
  59.  
  60. None of the Software or underlying information or technology may be 
  61. downloaded or otherwise exported or reexported (i) into (or to a national 
  62. or resident of) Cuba, Iraq, Libya, Yugoslavia, North Korea,
  63. Iran, Syria or any other country to which the U.S. has embargoed
  64. goods; or (ii) to anyone on the U.S. Treasury Department's list of
  65. Specially Designated Nationals or the U.S. Commerce Department's 
  66. Table of Denial Orders. By downloading or using the Software, you 
  67. are agreeing to the foregoing and you are representing and warranting 
  68. that you are not located in, under the control of, or a national or resident 
  69. of any such country or on any such list.
  70.  
  71. LIMITATION OF LIABILITY
  72.  
  73. UNDER NO CIRCUMSTANCES AND UNDER NO LEGAL THEORY, TORT, CONTRACT, 
  74. OR OTHERWISE, SHALL MAPLE WARE TECHNOLOGIES OR ITS SUPPLIERS OR RESELLERS BE 
  75. LIABLE TO YOU OR ANY OTHER PERSON FOR ANY INDIRECT, SPECIAL, INCIDENTAL, 
  76. OR CONSEQUENTIAL DAMAGES OF ANY CHARACTER INCLUDING, WITHOUT 
  77. LIMITATION, DAMAGES FOR LOSS OF GOODWILL, WORK STOPPAGE, COMPUTER 
  78. FAILURE OR MALFUNCTION, OR ANY AND ALL OTHER COMMERCIAL DAMAGES OR 
  79. LOSSES. IN NO EVENT WILL MAPLE WARE TECHNOLOGIES BE LIABLE FOR ANY DAMAGES 
  80. IN EXCESS OF THE AMOUNT MAPLE WARE TECHNOLOGIES  RECEIVED FROM YOU FOR A 
  81. LICENSE TO THE SOFTWARE, EVEN IF MAPLE WARE TECHNOLOGIES SHALL HAVE BEEN 
  82. INFORMED OF THE POSSIBILITY OF SUCH DAMAGES, OR FOR ANY CLAIM BY ANY 
  83. OTHER PARTY. THIS LIMITATION OF LIABILITY SHALL NOT APPLY TO LIABILITY 
  84. FOR DEATH OR PERSONAL INJURY TO THE EXTENT APPLICABLE LAW PROHIBITS 
  85. SUCH LIMITATION. FURTHERMORE, SOME JURISDICTIONS DO NOT ALLOW THE 
  86. EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO 
  87. THIS LIMITATION AND EXCLUSION MAY NOT APPLY TO YOU.

  89. HIGH RISK ACTIVITIES.

  91. The Software is not fault-tolerant and is not designed, manufactured
  92. or intended for use or resale as on-line control equipment in hazardous 
  93. environments requiring fail-safe performance, such as in the operation 
  94. of nuclear facilities, aircraft navigation or communication systems, air 
  95. traffic control, direct life support machines, or weapons systems, in 
  96. which the failure of the Software could lead directly to death, personal 
  97. injury, or severe physical or environmental damage ("High Risk Activities").  
  98. Maple Ware Technologies, Ltd. and its suppliers specifically disclaim any express or 
  99. implied warranty of fitness for High Risk Activities.

  101. MISCELLANEOUS.
  102.  
  103. If any provision of this Agreement is held to be unenforceable, such
  104. provision shall be reformed only to the extent necessary to make it
  105. enforceable.  This Agreement shall be governed by Tennessee law
  106. (except for conflict of law provisions). The application the United
  107. Nations Convention of Contracts for the International Sale of Goods is
  108. expressly excluded.
  109.  
  110. U.S. GOVERNMENT RESTRICTED RIGHTS.  Use, duplication or disclosure by the 
  111. Government is subject to restrictions set forth in subparagraphs (a) through 
  112. (d) of the Commercial Computer-Restricted Rights clause at FAR 52.227-19 
  113. when applicable, or in subparagraph (c)(1)(ii) of the Rights in Technical Data 
  114. and Computer Software clause at DFARS 252.227-7013, or at 252.211-7015, or 
  115. to Maple Ware Technologies' standard commercial license, as applicable, and in 
  116. similar clauses in the NASA FAR Supplement. Contractor/manufacturer is
